Terms and Conditions
These Terms and Conditions (“Terms”) govern the use of the website and the provision of services by Conjoint Export Services (NEAR EAST) Limited ("Conjoint", "Company", "we", "us", or "our"). By engaging with our platform, placing orders, or supplying goods or services to us, all parties—including customers (“Buyers”), suppliers (“Vendors”), and service providers—agree to be bound by these Terms.
1. Company Overview
Conjoint Export Services (NEAR EAST) Limited is a UK-registered procurement and export company that facilitates international trade by connecting qualified suppliers with global buyers. Our services include sourcing, procurement, order fulfilment, quality assurance, and logistics coordination.
2. Eligibility
All parties conducting business with Conjoint must:
- Be legally registered business entities in their respective jurisdictions.
- Provide accurate, complete, and current business and contact information.
- Comply with all relevant trade regulations, including UK and international import/export laws.
3. Product Listings and Pricing
For Suppliers:
- Product listings must include detailed and accurate specifications, images, country of origin, certifications, and unit prices.
- Prices must be quoted in GBP (£), EUR (€), or USD ($), with a clear indication of whether shipping, VAT, duties, and other costs are included, along with the applicable Incoterms.
- Unless otherwise agreed in writing, quoted prices must remain valid for a minimum of 90 days from the date of listing or quotation.
For Customers:
- Pricing provided is based on verified supplier quotations and may include additional service, handling, or export coordination fees charged by Conjoint.
- All confirmed orders will be accompanied by a formal Proforma Invoice (PI) issued by Conjoint.
4. Order Placement and Confirmation
For Customers:
- Orders must be submitted in writing, either via email or through our website.
- Orders become binding only upon issuance of an Order Acknowledgement by Conjoint.
- Any post-confirmation changes may impact pricing, delivery timelines, and may result in cancellation at our discretion.
For Suppliers:
- Product availability and delivery lead times must be confirmed prior to the issuance of a PI to the customer.
- Failure to deliver as per the confirmed PI may result in cancellation of the order and/or penalties.
5. Shipping and Delivery
- All shipments will adhere to Incoterms® 2020 (e.g., FOB, CIF, EXW), as outlined in the applicable PI or contract.
- Conjoint will coordinate logistics in accordance with international standards but will not be held liable for shipping delays beyond its control, including customs or port-related issues.
6. Suppliers / Manufacturers
- Quality and Compliance: All products must meet agreed quality standards and regulatory requirements applicable in the destination country.
- Timely Delivery: Adherence to agreed delivery schedules is mandatory. Repeated delays may result in cancellation, penalties, or suspension from future procurement.
- Confidentiality: Suppliers must maintain strict confidentiality of Conjoint’s business data, including pricing, customer information, and other proprietary details.
- Ethical Conduct: All suppliers are expected to operate in compliance with applicable labor, environmental, anti-corruption, and trade laws.
7. Other Vendors / Service Providers
- Scope of Work: Services must be delivered according to the agreed scope, timelines, and specifications as outlined in the official contract or work agreement.
- Invoicing and Payment: Invoices must be submitted with supporting documents and will be paid based on the agreed terms.
- Confidentiality and Data Security: Vendors must protect sensitive business data and ensure compliance with applicable data privacy and cybersecurity laws.
8. Limitation of Liability
To the fullest extent permitted by law, Conjoint Export Services (NEAR EAST) Limited shall not be liable for any indirect, incidental, special, or consequential damages resulting from the use of our website, products, or services.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United Kingdom. Any disputes arising under or in connection with these Terms shall fall under the exclusive jurisdiction of the courts located in Surrey, United Kingdom.
10. General Terms
- All transactions are subject to these Terms unless expressly modified and agreed upon in writing by both parties.
- Conjoint reserves the right to update or amend these Terms at any time. All updates will be published on this page and will take immediate effect unless otherwise stated.
- It is the responsibility of all users and partners to periodically review these Terms to remain informed of any changes.
